Welcome to Stitchroom, Inc. ("Stitchroom," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at stitchroom.com ("Site") and our custom furniture and upholstery services ("Services"). By accessing or using our Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.
1. Acceptance of Terms
By accessing and using the Stitchroom website and services, you accept and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Eligibility
You must be at least 18 years of age to use our Services. By using our Site and Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts.
3. Services
Stitchroom provides custom furniture and upholstery services, including but not limited to:
- Custom banquettes and seating
- Upholstered headboards and beds
- Ottomans and poufs
- Custom pillows and cushions
- Drapery and window treatments
- Custom sofas and upholstered furniture
- Reupholstery services
All services are performed at our Brooklyn, NY workroom unless otherwise specified. We primarily serve the New York metropolitan area, though shipping and services may be available in other regions.
4. Orders and Acceptance
All orders are subject to acceptance by Stitchroom. We reserve the right to refuse or cancel any order for any reason, including but not limited to:
- Product or service availability
- Errors in pricing or product information
- Suspected fraudulent activity
- Project specifications that cannot be reasonably fulfilled
An order is not considered accepted until we provide written confirmation and receive the required deposit.
5. Pricing and Payment
All prices are quoted in U.S. dollars and are subject to change without notice until an order is confirmed. Payment terms are as follows:
- Deposit: A 50% deposit is required to begin production on custom orders
- Balance: The remaining balance is due upon completion, prior to delivery or pickup
- Payment Methods: We accept credit card, ACH, wire transfer, check, and Zelle. Credit card payments may incur a processing fee
- Large Orders: For payments over $2,000, we recommend ACH, wire, or check, as Zelle limits may apply
Prices do not include applicable sales tax, which will be added where required by law.
6. Custom Orders and Specifications
Custom orders are made specifically for each customer according to approved specifications. You are responsible for:
- Providing accurate measurements and specifications
- Reviewing and approving shop drawings where provided
- Confirming fabric selections and other materials
- Ensuring access for delivery and installation
Due to the nature of handcrafted items and natural materials, minor variations in dimensions, color, and texture may occur and do not constitute defects.
7. Cancellation and Refund Policy
Due to the custom nature of our products:
- Before Production: Orders may be cancelled before production begins with a full refund of any deposit paid
- After Production Begins: If production has begun, deposits are non-refundable but may be applied as credit toward a future order
- Returns: Custom orders cannot be returned except in cases of manufacturing defects
- Defects: If you receive a product with a manufacturing defect, please contact us within 7 days of delivery
8. Order Changes
Changes to orders after production has begun may be possible depending on the project stage. Changes may require a formal change order with additional fees and timeline adjustments. We will provide written confirmation of any approved changes including cost and schedule impacts.
9. Delivery and Installation
Delivery times are estimates only and may vary based on:
- Project complexity and scope
- Fabric and material availability
- Design approval timeline
- Current production schedule
White glove delivery and installation services are available in the New York metropolitan area for an additional fee. You are responsible for ensuring adequate access and preparation for delivery. Stitchroom is not responsible for delays caused by circumstances beyond our reasonable control.
10. Warranty
Stitchroom provides a Two-Year Limited Warranty on workmanship and construction for our custom products. This warranty:
- Covers defects in materials and workmanship under normal use
- Does not cover fabrics or materials provided by the customer (COM)
- Does not cover damage from misuse, abuse, accidents, or improper care
- Does not cover normal wear and tear or commercial/institutional use
- Does not cover minor variations inherent in handcrafted items

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY NEW YORK LAW, STITCHROOM'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. IN NO EVENT SHALL STITCHROOM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Intellectual Property
All content on our Site, including text, graphics, logos, images, and software, is the property of Stitchroom or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.
13. Customer Materials
When you provide your own materials (COM - Customer's Own Material), you represent that you have the right to use such materials and that the materials are suitable for the intended purpose. Stitchroom is not responsible for defects, performance issues, or delays related to customer-provided materials.
14. Dispute Resolution
In the event of any dispute arising from these Terms or our Services:
- Informal Resolution: We encourage you to contact us first to attempt to resolve any dispute informally
- Mediation: If informal resolution is unsuccessful, parties agree to attempt mediation before pursuing other remedies
- Jurisdiction: Any legal action shall be brought in the state or federal courts located in Kings County, New York
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Kings County, New York for any legal proceedings arising from these Terms.
16. Consumer Protection
Nothing in these Terms shall limit any rights you may have under applicable consumer protection laws in New York State. If any provision of these Terms conflicts with mandatory consumer protection provisions, the consumer protection provisions shall prevail.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any order confirmations or project agreements, constitute the entire agreement between you and Stitchroom regarding the subject matter hereof and supersede all prior agreements and understandings.

20. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our Site with an updated "Last Updated" date. Your continued use of our Site or Services after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
